1. Agreement to Terms
By accessing or using SPLit ("Service"), operated by Bayou City Blockchain LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
2. Description of Service
SPLit is a decentralized bill-splitting application built on the Solana blockchain. The Service allows users to create groups, track shared expenses, and settle debts using SOL or USDC cryptocurrency tokens.
3. Eligibility
You must be at least 18 years old and legally able to enter into contracts to use this Service. By using SPLit, you represent and warrant that you meet these eligibility requirements.
4. Wallet Connection
To use SPLit, you must connect a Solana-compatible cryptocurrency wallet. You are solely responsible for:
- Maintaining the security of your wallet and private keys
- All transactions made through your connected wallet
- Ensuring you have sufficient funds (SOL for fees, USDC/SOL for settlements)
- Verifying recipient addresses before confirming transactions
5. Non-Custodial Nature
SPLit is a non-custodial application. We never have access to, custody of, or control over your cryptocurrency assets. All transactions are executed directly from your wallet to the recipient's wallet on the Solana blockchain.
6. Transaction Finality
All transactions on the Solana blockchain are final and irreversible. Once a settlement transaction is confirmed on-chain, it cannot be reversed, refunded, or modified. You acknowledge and accept this immutability before initiating any transaction.
7. Fees
SPLit does not charge fees for using the Service. However, all Solana blockchain transactions require network fees (approximately $0.00025 per transaction) paid in SOL. You are responsible for all network fees associated with your transactions.
8. Acceptable Use
You agree not to use the Service to:
- Engage in illegal activities or money laundering
- Defraud other users or third parties
- Circumvent sanctions or export controls
- Interfere with or disrupt the Service
- Attempt to gain unauthorized access to any systems
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE ARE NOT RESPONSIBLE FOR ANY LOSSES DUE TO BLOCKCHAIN NETWORK ISSUES, WALLET FAILURES, OR SMART CONTRACT BUGS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAYOU CITY BLOCKCHAIN LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR CRYPTOCURRENCY ASSETS, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.
11. Indemnification
You agree to indemnify, defend, and hold harmless Bayou City Blockchain LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.
12. Regulatory Compliance
You are responsible for complying with all applicable laws and regulations in your jurisdiction regarding cryptocurrency transactions, tax reporting, and financial services. SPLit does not provide tax, legal, or financial advice.
13. Modifications to Service
We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Harris County, Texas.
15. Changes to Terms
We may revise these Terms at any time by posting the updated version on the Service. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
